Venture Capital Deals

MindBody, a provider of business management software for beauty, health and wellness, has raised $50 million in new VC funding from Bessemer Venture Partners, Institutional Venture Partners, Catalyst Investors, W Capital Partners and Montreux Equity Partners. Dow Jones reports that the deal came at a $450 million valuation. www.mindbodyonline.com

Ionic Security Inc., an Atlanta-based provider of a distributed data security platform for the enterprise, has raised $25.5 million in new VC funding. Google Ventures and Jafco Ventures co-led the round, and were joined by the Webb Investment Network and return backers like Kleiner Perkins Caufield and Byers and ff Venture Capital. www.ionicsecurity.com

Kapitall Inc., a New York-based online investment platform, has raised $13 million in Series B funding, according to VentureWire. Linden Venture Fund led the round, and was joined by Bendigo Partners. The company previously raised $12 million. www.kapitall.com

Ornim Medical, an Israel-based developer of non-invasive patient monitoring solutions for cerebral and tissue blood flow, has raised $10 million in new VC funding from return backers OrbiMed Israel, GE and Agate. www.ornim.com

Smart Remarketer, an Indianapolis-based provider of customer intelligence for multi-channel retailers, has raised $7 million in VC funding led by Battery Ventures. www.smartremarketer.com

Strevus Inc., a San Francisco-based provider of risk and compliance management solutions for financial service institutions, has raised $5.6 million in Series A funding. Blumberg Capital led the round, and was joined by U.S. Venture Partners and individual angels. www.strevus.com

ThreatStream, a Redwood City, Calif.-based cybersecurity intelligence platform, has raised $4 million in Series A funding. Google Ventures led the round, and was joined by Paladin Capital Group.www.threatstream.com

Dunwello, a Boston-based developer of a “mobile-centric product that is all about highlighting the most important moments at work,” has raised $1.4 million in seed funding. Investors include NextView Ventures, G20 Ventures, BOLDstart Ventures, Vegas Tech Fund, Bridge Boys, Axel Bichara, Gautam Gupta, Jeremy Hitchcock and Mark Guadagnoli. Read more.

PandoDaily, a tech-focused media content site, has raised $1.2 million in Series A funding. Jumpstart Foundry led the round, and was joined by Base Ventures, Vegas Tech Fund and return backers like Accel Partners and Founders Fund. www.pando.com

Private Equity Deals

BC Partners and Charterhouse Capital Partners are among the suitors for CarTrawler, an Ireland–based online car rental company, according to LBO Wire. The sale could garner upwards of £500 million, with PricewaterhouseCooper managing the process. Sellers would include ECI Partners, which acquired a 50% stake in CarTrawler in 2011 for approximately €50 million. www.cartrawler.com

The Blackstone Group and GIC have agreed to invest a combined $750 million for around a 44% equity stake in HR software company Kronos, according to the WSJ. The deal values Kronos at around $4.5 billion, including debt. Kronos owners Hellman & Friedman and JMI Equity had been seeking to sell the entire company for more than $4.6 billion, but did not receive adequate offers.www.kronos.com

Court Square Partners has acquired a majority stake in AFS Technologies Inc., a Phoenix–based provider of software solutions in the consumer packaged goods market. No financial terms were disclosed. Sellers include Goldman Sachs. www.afsi.com

Dynamic Healthcare Services Inc., a portfolio company of GMH Ventures and Lakewood Capital, has acquired Reliable Home Medical Equipment Inc., a Hackensack, N.J.-based provider of respiratory, sleep, mobility, durable medical equipment products and services to customers in the New York and New Jersey. Five Point Capital Partners has committed $75 million in equity to form Redwood Midstream Partners, a Houston, Texas-based provider of midstream infrastructure solutions to underserved oil and gas producers. Redwood will be led by Marty Patterson, who previously was part of the founding management team at American Midstream Partners. www.redwoodmidstream.com

Hopu Funds and Bank of China Group Investment are part of a consortium that has agreed to invest $2.35 billion for a 34% stake in the mainland China business of Singapore’s Global Logistic Properties. The firms also will invest another $163 million for a stake in GLP’s Singapore-listed unit (SGX: MCO www.glprop.com

Lovell Minnick Partners has acquired Keane, a New York–based provider of unclaimed property solutions, from DFW Capital and Maranon Capital. No financial terms were disclosed.www.keaneup.com

MW Industries, a Rosemont, Ill.-based portfolio company of Genstar Capital, has acquiredFuturistics Components, a Waterbury, Conn.-based maker of precision-turned components for the microwave, electronics, defense and aerospace industries. No financial terms were disclosed.www.mw-ind.com

Partners Group has acquired a majority stake in Fermaca, an operator of gas infrastructure in Mexico, from Ospraie Management for approximately $750 million. www.fermaca.mx

Polaris Private Equity has agreed to acquire Louis Poulsen Lighting, a Denmark–based supplier of architectural lighting. No financial terms were disclosed. www.louispoulsen.com

Prospect Partners has sponsored a management-led recapitalization of Wedgewood Wedding andBanquet Centers, a Temecula, Calif.-based provider of full-service wedding and banquet services. No financial terms were disclosed. www.prospect-partners.com

OTHER M&A

Paroc, a Finnish maker of stone wool insulation products, has hired Lazard to find a buyer, according to Reuters. The deal could be worth more than €650 million. Paroc was taken over by its lenders in 2009 from private equity firm Arcapita. www.paroc.com

Hunter’s Specialties Inc., a Cedar Rapids, Iowa-based maker of hunting accessories, is seeking a buyer, according to LBO Wire. Current backers include Centerfield Capital Partners and Greyrock Capital. www.hunterspec.com

Lindsay Goldberg has hired Goldman Sachs to help find a buyer for First American Payment Systems, a Fort Worth, Texas–based provider of payment processing services for small and mid-sized businesses, according to Bloomberg. The deal could be valued at upwards of $600 million. www.first-american.net

Optum, a united of UnitedHealth (NYSE: UNH), has acquired a majority stake in Audax Health Solutions Inc., a Washington, D.C.-based provider of benefit management information solutions. No financial terms were disclosed. www.audaxhealth.com

Safeway (NYSE: SWY), a Pleasanton, Calif.-based grocery chain whose market cap exceeds $8.5 billion, said yesterday that it is considering a sale. The company reportedly has been in discussions for the past few months with Cerberus Capital Management, and also is known to be in talks to sell its 49% stake in Mexican grocery chain Casa Ley. www.safeway.com

Signet Jewelers (NYSE: SIG) has agreed to acquire fine jewelry retailer Zale Corp. (NYSE: ZLC) for approximately $690 million in cash, or $21 per share (41% premium to Tuesday’s closing price).www.signetjewelers.com
