Kohlberg Co. has agreed to acquire piano-maker Steinway Musical Instruments Inc. (NYSE: LVB) for approximately $438 million, or $35 per share in cash (15% premium over Friday’s closing price). Allen & Co. is advising Steinway on the transaction. www.kohlberg.com

Arbor Investments has acquired Keyes Packaging Group Inc., a Wenatchee, Wash.-based provider of protective molded fiber and tissue wrap packaging for the food and beverage industry, from Tricor Pacific Capital. No financial terms were disclosed. www.arborpic.com

Avista Capital Partners has agreed to acquire ZEST Anchors Inc., an Escondido, Calif.–based maker of overdenture abutment solutions used in the treatment of edentulous patients, from The Jordan Co. No financial terms were disclosed. www.zestanchors.com

The Carlyle Group has sold its minority ownership stake in Famous Brands, the parent company ofTCBY Yogurt and Mrs. Fields Cookies, to Z Capital Partners, which is now Famous Brands’ sole owner. No financial terms were disclosed. www.carlyle.com 

CorePower Yoga, a Denver-based operator of yoga studios, has raised an undisclosed amount of equity funding from Catterton Partners. www.corepoweryoga.com

Clearlake Capital Group has completed its $34.55 million acquisition of the retail solutions group ofAgilysys Inc. (Nasdaq: AGYS). The business provides point-of-sale, self-service and wireless mobility solutions to retailers. It has been renamed Kyrus Solutions Inc. www.agilysys.com
Gulf Capital has acquired Chef Middle East LLC, a Dubai-based importer and distributor of specialty and fine food products, from Vintage Holdings. No financial terms were disclosed.www.gulfcapital.com

Madison Dearborn Partners has completed its previously-announced $1.3 billion take-private acquisition of National Financial Partners Corp., a New York–based provider of benefits, insurance and wealth management services. www.nfp.com

ReverTech Solutions LLC, a Wilmington, Mass.–based provider of reverse logistics services for consumer and enterprise electronics, has acquired the assets of Test Technology Inc., a Marlton, N.J.-based provider of electronic repair and reverse logistics solutions. No financial terms were disclosed. ReverTech is a portfolio company of Leading Ridge Capital Partners. www.ReverTech.com

Trojan Battery Co., a Santa Fe Springs, Calif.-based maker of deep-cycle lead acid batteries, has raised an undisclosed amount of private equity funding from Charlesbank Capital Partners. The company also secured debt financing from GE Antares Capital. www.trojanbattery.com
