Telefónica is denying a Spanish newspaper report that it received a $93 billion takeover approach fronm AT&T. www.telefonica.com

Elan Corp. (NYSE: ELN) has formally put itself up for sale, after having rejected multiple takeover attempts from Royalty Pharma. www.elan.com

CIE AutomotiveSA (Madrid: CIEA) has agreed to acquire a majority stake in the auto parts manufacturing unit of India’s Mahindra Group for approximately $116 million. www.cieautomotive.com

Nyloncraft Inc.
, a Mishawaka, Ind.-based provider of plastic molding solutions, has acquired NYX Fort Wayne, a Fort Wayne, Ind.-based maker of pressurized plastic fluid reservoirs and related functional components for under-the-hood vehicular applications, from NYX Inc. No financial terms were disclosed. Qatar Holding
 has sold its 10% voting stake in Porsche Automobil Holding SE to the carmaker’s family shareholders, for an undisclosed amount. www.porsche-se.com

Santander Mexico has agreed to acquire the mortgage business of ING Mexico for approximately $50.7 million in cash. www.santander.com

Cinven and KKR have agreed to sell Dutch waste management company AVR to companies controlled by Li Ka-shing, for €943.7 million. www.vangansewinkelgroep.com

Brookfield Asset Management has agreed to sell its Longview Timber business toWeyerhaeuser Co. (NYSE: WY) for $2.65 billion. The move comes just days after Brookfield agreed to sell its Longview Fibre Paper and Packaging Inc. to KapStone Paper and Packaging Corp. (NYSE: KS) for just over $1 billion. www.brookfield.com

International Auto Components Group, a global auto parts supplier owned by WL Ross & Co., has filed for a $115 million IPO. It plans to trade on the NYSE under ticker symbol IACG, with BoA Merrill Lynch, Deutsche Bank and J.P. Morgan serving as lead underwriters. The company reports a $38 million net loss on around $4.7 billion of revenue for 2012. www.iacgroup.com

The New Home Co., an Aliso Viejo, Calif.-based homebuilder focused on major metropolitan areas in California, has filed for a $172.5 million IPO. It plans to trade on the NYSE under ticker symbol NWHM, with Citigroup and J.P. Morgan serving as lead underwriters. Shareholders include Tricon Capital Group (TSX: TCN). www.thenewhomecompany.com

Noodles & Co., a Broomfield, Colo.-based fast casual restaurant concept, has set its IPO terms to nearly 5.36 million shares being offered at between $13 and $15 per share. It plans to trade on the NYSE under ticker symbol NDLS, with Morgan Stanley and UBS serving as lead underwriters. The company reports around $5 million in net income on $300 million in revenue for 2012, compared to $3.8 million on $256 million in 2011. Catterton Partners and Argentia Private Investments each hold around a 45% pre-IPO stake. www.noodles.com

OCI Partners LP
, a Nederland, Texas-based merchant methanol producer, has filed for a $480 million IPO. It plans to trade on the NYSE under ticker symbol OCIP, with BoA Merrill Lynch, Barclays and Citigroup serving as lead underwriters.

Onconova Therapeutics
, a Newtown, Penn.-based cancer drug developer, has filed for a $75 million IPO. It plans to trade on the Nasdaq under ticker symbol ONTX, with Citigroup and Leerink Swann serving as lead underwriters. The company reports nearly a $30 million net loss on over $46 million in revenue for 2012. Baxter International Inc. (NYSE:BAX) holds a 14.7% ownership stake, due to both VC investments and a strategic partnership signed late last year that could be valued at upwards of $565 million. Other VC backers include ICICI Ventures, Mehta Partners and Tinicum Partners.www.onconova.com

Stock Building Supply Holdings, a Raleigh, N.C.-based provider of building materials and construction services to homebuilders and contractors, has filed for a $175 million IPO. It plans to trade on the Nasdaq, with Goldman Sachs serving as lead underwriter. The company is controlled by Gores Group. www.stocksupply.com
