C.H. Robinson Worldwide Inc. (Nasdaq: CHRW), an Eden Prairie, Minn.-based third-party logistics company, has agreed to acquire smaller rival Phoenix International for $636 million ($571.5m in cash, rest in stock). www.chrobinson.com

ConocoPhillips
 (NYSE: COP) has received a $5 billion bid for stakes in its Canadian oil sands holdings from three state-run Indian oil companies, according to Reuters. www.conocophillips.com

Diageo PLC
 (LSE: DGE) said that it is in talks to acquire an undisclosed stake in listed Indian alcoholic beverages company United Spirits. No additional details were disclosed. www.unitedspirits.in

IBM (NYSE: IBM) has acquired Butterfly Software Ltd., a UK-based data analysis and migration software company. No financial terms were disclosed. www.butterflysoftware.net

Groupon (Nasdaq: GRPN) has acquired Savored, a New York–based online provider of restaurant reservation solutions. No financial terms were disclosed. Savored had raised around $4 million in VC funding from Hearst Ventures, GrandBanks Capital and High Peaks Venture Partners.www.savored.com

Mallinckrodt, the pharma unit of Covidien (NYSE: COV), has agreed to acquire CNS Therapeutics, a St. Paul, Minn.-based developer of products for site-specific administration to the CNS to treat neurological disorders and intractable chronic pain. The deal is valued at approximately $100 million, and is scheduled to close next quarter. CNS Therapeutics has raised VC funding from InterWest Partners and Thomas, McNerney & Partners. www.gablofen.com

Recruit Co. Ltd. of Japan has acquired Stamford, Conn.-based online jobs site Indeed.com. No financial terms were disclosed. Indeed.com had raised VC funding from Allen & Co., Union Square Ventures and The New York Times Co. www.indeed.com

Winona Capital Management has agreed to sell Peter Millar LLC, a Cary, N.C.–based luxury apparel business, to Compagnie Financière Richemont SA (SWX: CFR) for an undisclosed amount. www.petermillar.com
