Energy Transfer Partners (NYSE: ETP) has agreed to acquire Sunoco Inc. (NYSE: SUN) for approximately $5.3 billion in cash and stock. Each Sunoco stockholder will receive $25 per share in cash and just over half an ETP common unit. www.sunoco.com

China Investment Corp. has held talks to invest more than $2 billion into the Australian LNG facilities of British gas company BG Group PLC, according to Reuters.

Haemonetics Corp. (NYSE: HAE) has agreed to acquire the business assets of the blood collection, filtration and processing product lines of Pall Corp. (NYSE: PLL). The deal includes a $536 million up-front payment and $15 million in milestone-based earnouts. www.haemonetics.com

Hologic Inc. (Nasdaq: HOLX) has agreed to acquire Gen-Probe Inc. (Nasdaq: GPRO) for approximately $3.7 billion in cash, or $82.75 per share. www.hologic.com

Warner Chilcott PLC (Nasdaq: WCRX) has hired Goldman Sachs to help it consider strategic options, after receiving takeover interest from both strategic and private equity buyers, according to Bloomberg. The Dublin-based drugmaker has a market cap of around $4.6 billion. Shareholders include Bain Capital, CCMP Capital Advisors and THL Partners.

Microsoft Inc. (Nasdaq: MSFT) has agreed to invest $300 million for a 17.6% stake in the Nook division of Barnes & Noble Inc. (NYSE: BKS), which is being spun out into an independent company. www.microsoft.com

3i Group is preparing to auction off British fashion label Hobbs for upwards of £250 million, according to The Sunday Telegraph. www.3i.com

Intuit Inc. (Nasdaq: INTU) has agreed to acquire Demandforce Inc., a San Francisco-based provider of SaaS solutions for small and mid-sized business customer communications and marketing. The deal is valued at approximately $423.5 million in cash. Demandforce had raised over $11 million in VC funding from Benchmark Capital, Floodgate Fund and Palo Alto Investors. www.intuit.com

Wells Fargo Securities (NYSE: WFC) has agreed to acquire Merlin Securities, a prime brokerage services and technology provider. No financial terms were disclosed. Sellers include Grail Partners and Sequoia Capital. www.wellsfargo.com
