Baidu Inc. (Nasdaq: BIDU) has agreed to acquire app store 91 Wireless from Netdragon Websoft Inc. (HK: 777) for $1.85 billion in cash. www.baidu.com

Apple Inc. (Nasdaq: AAPL) has acquired Matcha.tv, a Mountain View, Calif.-based digital video recommendation engine. No financial terms were disclosed, although VentureBeat puts the pricetag at between $1 million and $1.5 million. Matcha had been seeded by Plug & Play Ventures and Media Camp. www.matcha.tv

Millennial Media
 (NYSE: MM) has agreed to acquire Jumptap, a Boston-based mobile ad network. The total deal is valued at approximately $225 million, mostly via 24.6 million shares of Millennial Media stock. JumpTap had raised over $120 million in VC funding from General Catalyst Partners, Summerhill Venture Partners, Valhalla Partners, Redpoint Ventures, AllianceBernstein, WPP and Keating Capital. www.jumptap.com

SafeStitch Medical Inc. (OTC BB: SFES) has agreed to merge with TransEnterix Inc., a Morrisville, N.C.–based developer of flexible devices and robotics for minimally invasive surgery. Under terms of the deal, TransEnterix would hold 65% of the combined company. TransEnterix has raised more than $70 million in VC funding from Aisling Capital, Intersouth Partners, Quaker BioVentures, SV Life Science Advisers, Synergy Life Science Partners and Parish Capital Advisors.  www.transenterix.com

Applied Optoelectronics Inc., a Sugar Land, Texas-based provider of fiber-optic networking product, has filed for a $50 million IPO. It plans to trade on the Nasdaq under ticker symbol AAOI, with Raymond James and Piper Jaffray serving as lead underwriters. China Commercial Credit
, a Chinese microcredit lender, raised $9 million in its IPO. The company priced 1.4 million shares at $6.50 per share (middle of $6-$7 range), for an initial market cap of $67 million. Envision Healthcare (f.k.a. Emergency Medical Services), a Greenwood Village, Colo.-based provider of outsourced medical services, raised $966 million in its IPO. The company priced 42 million shares at $23 per share (high end of $20-$23 range), compared to original plans to offer 35 million shares. Its initial market cap is $3.84 billion. The company will trade on the NYSE under ticker symbol EVH, while Goldman Sachs served as lead underwriter. Fate Therapeutics
, a San Diego-based stem cell biotech company focused on cellfate control, has filed for a $69 million IPO. It plans to trade on the Nasdaq under ticker symbol FATE, with Cowen & Co. and BMO Capital Markets serving as lead underwriters. The company reports a $9.1 million net loss on $762,000 in revenue for the first half of 2013.
