Google (Nasdaq: GOOG) has officially acquired social mapping app-maker Waze for more than $1 billion. Earlier reports had Facebook also interested in acquiring the company. Israel-based Waze had raised over $65 million in VC funding from BlueRun Ventures, Magma Venture Partners, Vertex Venture Capital, Horizon Ventures and Kleiner Perkins Caufield & Byers.www.waze.com

Apollo Tyres Ltd., a listed Indian tire-maker, has agreed to acquire Cooper Tire & Rubber Co.(NYSE: CTB) for approximately $2.5 billion, or $35 per share in cash (42.5% premium to yesterday’s closing price). www.coopertire.com

Cenovus Energy
 (TSX: CVE) has agreed to sell its Saskatchewan Bakken oil field assets to Surge Energy Inc. (TSX: SGY) for C$240 million. The deal is expected to close next month.www.cenovus.com

Pandora Media
 (NYSE: P) has acquired KXMZ-FM, a terrestrial radio station in Grand Rapids, S.D. No financial terms were disclosed. www.pandora.com

Vodafone (LSE: VOD) has approached German cable operator Kabel Deutschland (DB: KD8) about an acquisition that could be valued north of €7 billion, according to Reuters. www.vodafone.com

European Capital has sold German furnace manufacturer Metall Technologie Holding GmbH toLOI Thermprocess GmbH, a subsidiary of Tenova SpA. No financial terms were disclosed. www.mth-group.com

Milestone Partners

 (NYSE: CRM) has agreed to acquire EdgeSpring, a San Mateo, Calif.–based provider of enterprise business intelligence and analytics solutions. No financial terms were disclosed. EdgeSpring has raised $11 million from Kleiner Perkins Caufield & Byers and Lightspeed Ventures.www.edgespring.com

Tibco Software (Nasdaq: TIBX) has acquired StreamBase Systems, a Lexington, Mass.-based provider of complex event processing software solutions. No financial terms were disclosed. StreamBase had raised around $32 million in VC funding from Accel Partners, Bessemer Venture Partners, Highland Capital Partners, Battery Ventures and In-Q-Tel. www.streambase.com

Gigamon LLC, a Milpitas, Calif.-based provider of network traffic management solutions, raised $128 million in its IPO. The company priced 6.75 million shares at $19 per share ($18-$20 range), for an initial market cap of approximately $560 million. The company plans to trade on the NYSE under ticker symbol, while Goldman Sachs, BoA Merrill Lynch and Credit Suisse served as co-lead underwriters. Gigamon reports nearly around $7.5 million of net income on $96 million in revenue for 2012, compared to $17 million of net income on $68 million in revenue for 2011. Shareholders include Highland Capital Partners (33% pre-IPO stake). www.gigamon.com

Esperion Therapeutics Inc., a Plymouth, Mich.-based developer of oral low-density lipoprotein cholesterol lowering drugs, has set its IPO terms to 4.5 million common shares being offered at between $13 and $15 per share. It would have an initial market cap of nearly $200 million, were it to price in the middle of its offering range. The company plans to trade on the Nasdaq under ticker symbol ESPR, with Credit Suisse and Citigroup serving as lead underwriters. Esperion has raised around $33 million in VC funding from firms like Alta Partners (21.8% pre-IPO stake), Aisling Capital (21.8%), Domain Associates (21.8%), Longitude Capital (20%) and Arboretum Ventures (6.8%).www.esperion.com
