BMC Software Inc. (Nasdaq: BMC) is planning to buy back $1 billion of shares, after reviewing strategic alternatives that included a sale of the company, according to Bloomberg. Possible buyers had included KKR and TPG Capital. www.bmc.com

Carl Icahn has acquired around a 10% stake in Netflix (Nasdaq: NFLX). www.netflix.com

The Potash Corp. of Saskatchewan (TSX: POT) confirmed that it is in talks with the Israeli government to increase its position in fellow fertilizer maker Israel Chemicals. Potash currently holds nearly a 14% stake in Israel Chemcials. www.potashcorp.com

Intrexon Corp., a Blacksburg, Va.-based synthetic biology company, has agreed to acquire around a 48% stake in AquaBounty Technologies Inc. (AIM: ABTX), a Maynard, Mass.–based biotech company focused on increasing aquaculture productivity. The deal is valued at approximately $6 million in cash, with the shares coming from Linnaeus Capital Partners. Intrexon shareholders include Carilion Clinic, Colt Ventures, Third Security and Virginia Tech. www.intrexon.com

Goldman Sachs Capital Partners is seeking a buyer for USI Holdings, a Briarcliff Manor, N.Y.-based insurance broker, as originally reported by The Deal. Goldman Sachs is managing the process, which could generate bids of nearly $2 billion. GSCP acquired USI in 2007 for $1.4 billion. www.usi.biz

Zillow Inc. (Nasdaq: Z) has acquired Buyfolio, a New York–based online and mobile collaborative shopping platform for homebuyers. No financial terms were disclosed. www.zillow.com
