Wellpoint Inc. (NYSE: WLP) has agreed to acquire managed healthcare company Amerigroup Corp. (NYSE: AGP) for $4.9 billion, or $92 per share (43% premium to Friday’s closing price).

Madison Dearborn Partners has agreed to sell vegetable-juice maker Bolthouse Farms to Campbell Soup Co. (NYSE: CPB) for $1.55 billion in cash. www.mdcp.com

Excellere Partners has sold MTS Medication Technologies, a St. Petersburg, Fla.–based provider of medication adherence packaging solutions, to Omnicell Inc. (Nasdaq: OMCL). No financial terms were disclosed for the deal, which closed in May. www.mts-mt.com

RigNet Inc. (Nasdaq: RNET) has acquired Nessco Group Holdings Ltd., a British provider of telecom systems integration services for the oil and gas industry. The deal was valued at £29.5 in cash. www.nesscogroup.com

Schlumberger Ltd. (NYSE: SLB) has acquired a 20.1% stake in Chinese oilfield services company Antonoil (HK: 3337). No financial terms were disclosed. www.slb.com

Thomson Reuters Corp. (NYSE: TRI) has agreed to acquire electronic foreign exchange platform FX Alliance Inc. (NYSE: FX) for $625 million in cash, or $22 per share (40% premium to Friday’s closing price). www.fxall.com

Universal Business Payment Solutions Acquisition Corp. (Nasdaq: UBPS) has acquired three companies: Electronic Merchant Systems, a Cleveland-based credit and debit card sales company; Jet Pay LLC, a Carrollton, Texas-based U.S. credit and debit card processor; and A D Computer Corp., a Center Valley, Penn.-based payroll processing and tax filing company. The deals are valued at a combined $179 million, including $104 million in cash. www.ubpsac.com
