ConocoPhillips (NYSE: COP) is planning to sell all of its Nigerian assets, according to Reuters. The deal is expected to be worth several billions of dollars. www.conocophillips.com

e-Rewards, a Dallas-based provider of online market research panels, has agreed to acquire iPinion LLC, a provider of mobile market research. No financial terms were disclosed. TA Associates is a minority shareholder in e-Rewards. www.ipinion.com

Kratos Defense & Security Solutions Inc. (Nasdaq: KTOS) has agreed to acquire Composite Engineering Inc., a Sacramento, Calif.-based aerial drone maker. The deal is valued at $155 million in cash and stock. www.compositeeng.com

PacWest Bancorp (Nasdaq: PACW) has proposed to acquire First California Financial Group Inc. (Nasdaq: FCAL) for approximately $219 million, or $7.25 per share. www.pacwestbancorp.com

Amobee, a portfolio company of Singapore Telecom, has acquired AdJitsu, a 3D mobile ad technology company, from Cooliris Inc. No financial terms were disclosed. Cooliris is a portfolio company of DAG Ventures, T-Ventures, The Westly Group and Kleiner Perkins Caufield & Byers. www.amobee.com

Thoma Bravo has completed its previously-announced sale of SonicWall Inc., a provider of IT security and data backup and recovery solutions, to Dell Inc. (Nasdaq: DELL). No financial terms were disclosed. www.sonicwall.com

General Dynamics (NYSE: GD) has agreed to acquire IPWireless, a San Francisco-based provider of 3G and 4G LTE wireless broadband network equipment and solutions for first-responder and military customers. No pricing terms of the all-cash deal were disclosed. IPWireless had raised over $155 million in VC funding before being acquired in 2007 for around $100 million by NextWave Wireless. The company’s founders bought IPWirelessback one year later, after which it raised $15.5 million from Spark Capital, Lockheed-Martin Corp. and Northrup Grumann Corp.
