On Assignment Inc. (Nasdaq: ASGN) has agreed to acquire Apex Systems Inc., a Richmond, Va.–based IT staffing and services firm. The deal is valued at $600 million, including $383 million in cash and stock valued at $217 million. www.onassignment.com

TaylorMade-adidas Golf has agreed to acquire golf club maker Adams Golf Inc. (Nasdaq: ADGF) for approximately $70 million, or $10.80 per share.

Alibaba Group, Softbank and Yahoo have restarted talks about a tax-rich split that would allow Alibaba and Softbank to buy back Asian assets from Yahoo, according to the NY Times. www.yahoo.com

EMC Corp. (NYSE: EMC) has acquired Pivotal Labs, a San Francisco-based provider of agile software development services and tools. No financial terms were disclosed. www.emc.com

Vivox Inc., a Natick, Mass.-based social communications company, has acquired Droplet Inc., a Menlo Park, Calif.–based maker of video chat solutions for mobile networks. No financial terms were disclosed. Vivox has raised over $22 million from Benchmark Capital, Canaan Partners, Grandbanks Capital and IDG Ventures San Francisco. www.vivox.com

LSI Industries Inc. (Nasdaq: LYTS) has agreed to acquire Verticus Corp., a Beaverton, Ore.-based maker of automated network control systems and software for the management of indoor and outdoor lighting systems. The deal is valued at $3.15 million in cash, plus up to $5 million in earn-outs. Verticus had raised VC funding from Alliance of Angels and Dan Rosen & Associates. www.lsi-industries.com

Sentica Partners
has sold Idesco OY, a Finnish maker of RFID-based access control products, to Lagercrantz Group. No financial terms were disclosed. www.lagercrantz.com

Beats Audio, an audio tech company whose backers include HTC, is in talks to acquire subscription-based music service MOG, as first reported by Business Insider. MOG has raised around $25 million in VC funding from Gracenote, Simon Equity Partners, Universal Music Group, Sony BMG, Menlo Ventures and Balderton Capital.
