Bell Canada has agreed to acquire Astral Media Inc., a listed Montreal-based provider of television, radio, digital media and outdoor advertising properties in Canada. The deal is valued at approximately C$2.8 billion, or C$50 per share. www.bce.ca

Citigroup has sold its 2.71% equity stake in Chinese lender Shanghai Pudong Development Bank, for an after-tax gain of around $349 million. www.citigroup.com

United Parcel Service (NYSE: UPS) has agreed to acquire Dutch rival TNT Express for €5.2 billion. The deal represents a 5.55% increase over an initial UPS takeover offer that TNT rejected last month.www.tnt.com

Morgenthaler Private Equity has sold Avtron Loadbank Inc., a Cleveland–based designer and manufacturer of power integrity test and measurement devices, to Emerson (NYSE: EMR). No financial terms were disclosed. Harris Williams & Co. managed the process. www.avtronloadbank.com

Covidien PLC (NYSE: COV) has agreed to acquire SuperDimension Ltd., an Israeli developer of minimally-invasive interventional pulmonology devices. The deal is valued at $300 million, plus the possibility of future earn-outs. SuperDimension has raised around $106 million in VC funding, from firms like Covidien, Advent International, CIBC World Markets, Gemini Israel Funds, Medica Venture Partners, OrbiMed Advisors, Oxford Bioscience Partners and Pitango Venture Capital.www.superdimension.com

Dunkin’ Brands Group (Nasdaq: DKND) announced that the company’s private equity owners plan to sell 22 million common shares via a secondary public offering. Bain Capital, The Carlyle Group and THL Partners each are expected to sell an equal amount, which would reduce each firm’s ownership percentage to 12.5% from 18.4%.

Riverstone Holdings has agreed to sell Seajacks International, a provider of services to the European offshore wind energy market, to Marubeni Corp. and Innovation Network Corp. of Japan. A local news report puts the deal price at around $850 million. www.marubeni.com

Google has acquired the product team of Milk, the app developer launched by Digg founder Kevin Rose. Rose is among those who will join Google, at a “purchase” price TechCrunch reports to be between $15 million and $30 million. Milk had raised nearly $2 million from True Ventures, Google Ventures, First Round Capital, SV Angel, Floodgate Fund and individual angels.

GlaxoSmithKline (NYSE: GSK) has agreed to sell a portfolio of OTC healthcare brands to Omega Pharma of Belgium for €470 million. www.gsk.com

Sanofi has agreed to acquire Pluromed, a Woburn, Mass.-based maker of disposable medical devices like a gel to temporarily control bleeding during surgery. No financial terms were disclosed.www.pluromed.com

United Parcel Service (NYSE: UPS) said that it remains in talks to acquire Dutch rival TNT Express, after having a $6.4 billion takeover offer rejected last month. www.tnt.com

United Technologies Corp. (NYSE: UTX) said that it plans to sell approximately $3 billion worth of assets to help finance its proposed $16.5 billion acquisition of Goodrich Corp. (NYSE: GR).
