El Paso Corp. (NYSE: EP) shareholders argued in court yesterday that company CEO Douglas Foshee may have tried depressing the price of El Paso’s proposed sale to Kinder Morgan (NYSE: KMI), because he wanted to buy non-core assets in a side deal. The shareholders are seeking to block the $31 billion merger.

ShopRunner, a unit of Kynetic, has acquired ShopSanity, a service that helps consumers track orders and aggregating receipts across retailers. No financial terms were disclosed. www.shoprunner.com

Oracle (Nasdaq: ORCL) has agreed to buy Taleo Corp. (Nasdaq: TLEO), a provider of cloud-based talent management solutions, for approximately $1.9 billion. The $49 per share deal represents an 18% premium to Taleo’s Wednesday close. www.oracle.com

BTG Pactual, a Brazilian securities company, has agreed to acquire Chile’s Celfin Capital for approximately $600 million in cash and stock.

GigaOm has acquired ContentNext Media, the parent company of media-focused website paidContent, from Guardian News and Media Ltd. No financial terms were disclosed. GigaOm backers include True Ventures, Alloy Ventures and Reed Elsevier Ventures. www.gigaom.com

Goldman Sachs has agreed to acquire a 4.8% stake in Trade and Development Bank of Mongolia. www.gs.com

OVGuide, a Los Angeles-based online video guide, has acquired Live Matrix, a guide to live and scheduled events on the Web. No pricing terms of the all-stock deal were disclosed. OVGuide shareholders include Baroda Ventures. www.ovguide.com

TDC’s private equity owners are mulling a partial stake sale, according to Bloomberg. No specifics were provided. The Danish telecom company is owned by Apax Partners, Blackstone Group, KKR, Permira Advisors and Providence Equity Partners.

Akamai Technologies (Nasdaq: AKAM) has agreed to acquire Blaze Software, a Canadian provider of front-end optimization technology. No financial terms were disclosed. Blaze was seeded by firms like Boston Seed Capital, BDC, CommonAngels and Acadia Woods Partners. www.blaze.io
