AEA Investors has acquired an undisclosed stake in Swanson Industries, a Morgantown, West Va.-based provider of equipment and services to the fluid power, mining, steel, construction industries. No financial terms were disclosed. Lincoln International advised Swanson on the deal.www.swansonindustries.com

TowerBrook Capital Partners has acquired a majority stake in Vistage International Inc., a San Diego–based for-profit peer-advisory membership group for CEOs and business executives. No financial terms were disclosed for the deal, which also includes equity participation by Education Growth Partners. www.vistage.com

Advent International has again sweetened its offer for listed Polish retailer EKO Holding, as part of an ongoing competition with Mid Europa Partners. Advent’s latest offer values EKO at approximately $106 million. www.adventinternational.com

The Carlyle Group has agreed to acquire Diversey GK, a provider of cleaning, sanitation and hygiene products to institutional customers in Japan, from Sealed Air Corp. (NYSE: SEE). No financial terms were disclosed. www.carlyle.com

Reynolds and Reynolds, a Kettering, Ohio-based provider of business management software for auto dealers, has hired Qatalyst Group to find a buyer for approximately $5 billion, according to Reuters. Interested suitors include KKR. Reynolds and Reynolds was acquired for $2.8 billion in 2006 by an investor group that included Goldman Sachs Capital Partners, Vista Equity Partners and CEO Bob Brockman (ex-CEO of Universal Computer Systems, which merged with Reynolds in the deal). www.reyrey.com
