New Mountain Capital has agreed to acquire AmWINS Group Inc., a Charlotte, N.C.-based wholesale distributor of specialty insurance products and services, from Parthenon Capital. The deal is valued at approximately $1.3 billion. www.amwins.com

Jordan Health Services, a Mount Vernon, Texas-based portfolio company of Palladium Equity Partners, has acquired Tritrax Healthcare Services, a provider of home healthcare services to geriatric patients in the Dallas/Ft. Worth area. No financial terms were disclosed. Ancor Capital Partners was the primary seller. www.jhsi.com

Lee Equity Partners
has agreed to acquire wealth management firm The Edelman Financial Group Inc. for approximately $258 million, or $8.85 per share (43% premium over Friday’s closing share price). www.edelmanfinancial.com

Sentinel Capital Partners has acquired the Colson Group, a Chicago-based provider of caster technologies, from the Pritzker family. No financial terms were disclosed. www.colsongroup.com

Tonka Bay Equity Partners has acquired Quick Cable Corp., a Franksville, Wis. –based maker of connectors, cable, cable assemblies and tools for the energy storage industry. No financial terms were disclosed. www.quickcable.com

TrustHouse Services Group, a portfolio company of Gryphon Investors, has acquired Lindley Food Service, a New Haven, Conn.-based provider of freshly-prepared and frozen meals for senior nutrition, school breakfast lunch and head start daycare programs. www.lindleyfoodservice.com

XL Inc., a McLean, Va.-based portfolio company of The Halifax Group, has acquired ALON Inc., a Springfield, Va.-based program management, strategic acquisition planning and financial management services business. No financial terms were disclosed. www.xla.com

Versa Capital Management has completed its previously-announced acquisition of United Retail Group, the bankrupt owner of the Avenue brand of women’s fashion apparel. No financial terms were disclosed. AlixPartners served as URG’s restructuring advisor. www.avenue.com

Woodstream Corp., a portfolio company of Brockway Moran & Partners and CHS Capital, has acquired Senoret Group Inc., a St. Louis–based provider of pest control products sold under the TERRO and Sweeney’s brand names. No financial terms were disclosed. www.woodstream.com
