Plato Learning, a portfolio company of Thoma Bravo, has agreed to acquire Archipelago Learning (Nasdaq: ARCL), a Dallas-based provider of SaaS education tools and services. The deal is valued at approximately $291 million, or $11.10 per share (23% premium to Friday’s closing price). Providence Equity Partners currently holds around a 46% stake in Archipelago Learning, which went public in November 2009. www.archipelagolearning.com

The Blackstone Group and Bain Capital are partnering on a bid for DuPont’s car paint business, according to Reuters. Other consortia include CVC Capital with Clayton Dubilier & Rice. First-round bids are due this Wednesday, with the final deal expected to exceed $4 billion. www.dupont.com

ConvaTec, a portfolio company of Avista Capital Partners, has acquired SureCalm Healthcare Holdings Ltd., a UK-based homecare services group that specializes in the home delivery of prescribable stoma care and continence devices. No financial terms were disclosed. Apposite Capital was the seller. www.convatec.com

CVC Capital Partners and ValueAct Capital are considering a takeover offer for Misys (LSE: SETS), a British financial software company that is in talks to merge with Switzerland’s Temenos. ValueAct currently holds a 21.5% stake in Misys, which also has been approached about a takeover by Vista Equity Partners. www.misys.com

Econ EQT Investment has offered to acquire China Healthcare Ltd., a Singapore-listed nursing home owner and operator, for S$0.28 per share. www.eqt.se

Monomoy Capital Partners has acquired Raybestos Powertrain, a Crawfordsville, Ind.-based maker of transmission-related products, from Sun Capital Partners. No financial terms were disclosed. Monomoy will combine Raybestos with existing portfolio company Steel Parts Manufacturing Inc. www.suncappart.com

Thompson Street Capital Partners has sold Universal Air Filter to Filtration Group, a portfolio company of Madison Capital Partners. No financial terms were disclosed. UAF is a Sauget, Ill.–based maker of air filtration products used to protect electronic equipment enclosures. It was advised on the deal by Harris Williams & Co. www.uaf.com
