Venture Capital Deals

Matterport, a Mountain View, Calif.-based provider of cloud-based 3d models of interior spaces, has raised $16 million in Series B funding. DCM led the round, and was joined by AME Cloud Ventures. Existing backers include Lux Capital, Felicis Ventures, Greylock, AMD Ventures, Navitas Capital, Rothenberg Ventures, Qualcomm Ventures and individual angels. www.matterport.com

Traity, a Mountain View, Calif.-based company that helps users own and manage their online reputations, has raised $4.7 million in Series A funding. Active Venture Partners led the round, and was joined by Horizons Ventures, KRW Schindler Private Ventures, 500 Startups and individual angels.www.traity.com

TeleSign
, a Los Angeles-based provider of mobile phone-based verification tools for online accounts, has raised an undisclosed amount of strategic funding from Australia’s Telstra Ventures.www.telesign.com

Private Equity Deals

Aavid Thermalloy, a Laconia, N.H.-based portfolio company of Audax Private Equity, has acquiredAllcast, an Allentown, Wis.-based maker of aluminum die casting products for LED lighting, recreational vehicle, consumer and industrial applications. No financial terms were disclosed.www.aavid.com

The Blackstone Group has completed its previously-announced $5.4 billion acquisition of Gates Global, a Denver-based maker of power transmission belts and fluid power products, from Onex Corp.and Canada Pension Plan Investment Board. www.gatesglobal.com

CI Capital Partners has acquired Maroon Inc., an Avon, Ohio-based distributor of specialty chemicals. No financial terms were disclosed. www.marooninc.com

Insignia Capital Group has acquired Truco Enterprises, a Dallas-based maker of tortilla chips, salsa and cheese under the On The Border brand, from Arbor Investments and company co-founders. No financial terms were disclosed. ww.ontheborderproducts.com

Thoma Bravo has agreed to acquire Sparta Systems Inc., a Hamilton, N.J.–based provider of enterprise quality management solutions, from Summit Partners and Altaris Capital Partners. No financial terms were disclosed for the deal, which is expected to close later this quarter.www.spartasystems.com

Trilantic Capital Partners
 has led an acquisition of a majority stake in Fluid Delivery Solutions LLC, a Fort Worth, Texas–based oilfield water management company. No financial terms were disclosed. Other investors include First Trust Capital Partners and Volant Energy Partners.www.fdsllc.com

IPOs

CareDx (f.k.a. XDx), a Brisbane, Calif.-based developer of a diagnostic surveillance solution for heart transplant recipients, has set its IPO terms to 3.125 million shares being offered at between $15 and $17 per share. It would have an initial market cap of approximately $168 million, were it to price in the middle of its range. The company plans to trade on the Nasdaq under ticker symbol CDNA, with Piper Jaffray and Leerink Partners serving as lead underwriters. It reports a $3.5 million net loss on around $22.1 million in revenue for 2013. CareDx had raised over $120 million in VC funding from such firms as Kleiner Perkins Caufield & Byers (17% pre-IPO stake), TPG Biotech (16.5%), Sprout Group (11.1%), Intel Capital (10.2%), Burrill & Co. (9.4%), DAG Ventures (7.3%) and Integral Capital Partners (5.6%).www.caredx.com

iDreamSky Technology Ltd., a Chinese mobile game publishing platform, has filed for a $115 million IPO. It plans to trade on the Nasdaq under ticker symbol DSKY, with Credit Suisse and J.P. Morgan serving as lead underwriters. The company reports $5.3 million of net income on $28 million in revenue for Q1 2014. Shareholders include Redpoint Ventures (16.6% pre-IPO stake). www.idreamsky.com

Stanford Marine Group, a UAE-based builder and repairer of offshore supply vessels, has postponed its London IPO as majority owner Abraaj Group seeks potential buyers for the business, according to Bloomberg. The company generated $237 million in revenue and $60.2 million in EBITDA for 2013.www.stanford-marine.com

Taggares Agriculture Corp
., a Kennewick, Wash.-based acquirer and operator of farmland in the Pacific Northwest, has withdrawn registration for a $48.3 million IPO. No explanation was provided. The company had planned to trade on the Nasdaq, with Janney Montgomery Scott and ROTH Capital Partners serving as lead underwriters. www.taggaresag.com

Vantage Energy, an Englewood, Colo.-based oil and gas E&P company focused on the Marcellus Shale, has filed for a $400 million IPO. It plans to trade on the NYSE under ticker symbol VEI, with Barclays and Goldman Sachs serving as lead underwriters. Shareholders include Quantum Energy Partners, Riverstone Holdings and Lime Rock Partners. www.vantageenergy.com

M&A

Ace Ltd. (NYSE: ACE) has agreed to acquire property and marine insurance group Itaú Seguros Soluções Corporativas from Brazil’s Banco Itaú for approximately $685 million. www.acegroup.com

Archer Daniels Midland (NYSE: ADM) has agreed to acquire Wild Flavors, a Swiss flavoring company, from Kohlberg Kravis Roberts & Co. for €2.2 billion in cash (plus another 100 million in assumed debt). Read more

Helvetia (Swiss: HELN) has agreed to buy rival insurance company Nationale Suisse (Swiss: NATN) for approximately $2 billion in cash and stock (26% premium to Friday’s closing price).www.nationalesuisse.com

SABMiller
 (LSE: SAB) announced plans to sell its 39.6% stake in Tsogo Sun Holdings, a South African hotel and casino operator, for approximately $1.1 billion via a private placement to institutional investors later this month. www.sabmiller.com

3i Group has hired Morgan Stanley and BNP Paribas to advise on a possible sale of Finnish telecom company Eltel Networks for upwards of €1 billion, according to Bloomberg. www.3i.com

Bridgepoint
 has agreed to sell SPTS Technologies Group, a UK-based maker of etch, deposition and thermal processing equipment for the microelectronic industry, to Orbotech Ltd. The deal is valued at $370 million, including the assumption of debt. www.spts.com

Hayfin Capital Management
, a British lender, has been put on the auction block, according to Financial News. The company’s sponsors are TowerBrook Capital Partners, OMERS Private Equity, Public Sector Pension Investment Board of Canada and Future Fund (Australia). www.hayfin.com

Ingenico Group
 (Paris: ING) said that it has entered into exclusive talks to acquire GlobalConnect, an Amsterdam-based maker of payment terminals, from Welsh, Carson, Anderson & Stowe for around €820 million. www.ingenico.com

Lassonde Industries Inc. (TSX: LAS) has agreed to acquire Apple & Eve LLC, a Port Washington, N.Y.–based branded juice company, from ClearLight Partners. www.appleandeve.com

TransForce Inc. (TSX: TFI) has acquired Transport America, a Tenn.-based trucking and logistics company, from Goldner Hawn Johnson & Morrison. The deal is valued at $310 million (including $150m of assumed debt). In conjunction with the acquisition, Transport America has withdrawn IPO registration. www.transportamerica.com
