ThreatMetrix Inc., a San Jose, Calif.-based provider of context-based security and fraud prevention solutions, has raised $20 million in Series E funding. Adams Street Partners led the round, and was joined by return backers August Capital, Tenaya Capital, U.S. Venture Partners and CM Capital.www.threatmetrix.com

, a San Jose, Calif.-based provider of communications and metering system-on-a-chip solutions for smart grid, solar and other grid connectivity markets, has raised $15.4 million in Series C funding. Indix Corp., a Seattle-based SaaS and big data product intelligence platform company, has raised $8.5 million in Series A-1 funding co-led by Avalon Ventures and Nexus Venture Partners. www.indix.com

Kraken, a digital exchange for cryptocurrencies like Bitcoin, Dogecoin and Ripple, has raised $5 million in Series A funding. Hummingbird Ventures led the round, and was joined by Bitcoin Opportunity Fund and Trace Mayer. www.kraken.com

Private Equity Deals

The Blackstone Group has formed Global Water Development Partners, a new water-investment and development platform to be led by Usha Rao-Monari, former global head of the IFC’s water and wastewater group. No financial terms were disclosed. www.blackstone.com

Canadian International Oil Corp., a Calgary-based oil and has company, has secured a C$200 million equity commitment from Riverstone Holdings. Proeceeds will be used to fund a development program in the Western Canadian Deep Basin.

EQT Partners
 has acquired a majority stake in StormGeo, a Norwegian provider of software-based decision support for weather sensitive operations at sea. No financial terms were disclosed.www.stormgeo.com

IPOs

Applied Genetic Technologies Corp., a Gainesville, Fla.-based developer of gene therapy products to treat rare retinal diseases, raised $50 million in its IPO. The company priced 4.2 million shares at $12 per share, compared to plans to offer 3.57 million shares at between $13 and $15 per share. It will trade on the Nasdaq under ticker symbol AGTC, while BMO Capital Markets and Wedbush PacGrow Life Sciences served as lead underwriters. Shareholders include Alta Partners (30.7% pre-IPO stake), S.R. One Ltd. (20.4%), InterWest Partners (15.1%), MedImmune Ventures (15.1%), Intersouth Partners (12.5%) and Osage University Partners (5.1%).www.agtc.com

La Quinta Holdings Inc.
, an Irving, Texas-based midscale hotel chain owned by The Blackstone Group, has set its IPO terms to 37.2 million shares being offered at between $18 and $21 per share. It would have an initial market cap of around $2.39 billion, were it to price in the middle of its range. The company plans to trade on the NYSE under ticker symbol LQ, with J.P. Morgan and Morgan Stanley serving as lead underwriters. The company reports $9.7 million in net income on $659 million in revenue for the first nine months of 2013, compared to $42 million in net income on $617 million in revenue for the year-earlier period. Blackstone paid $2.3 billion to acquire La Quinta in late 2005.www.laquinta.com

Mapi – Pharma Ltd.
, an Israeli developer of generic drugs for multiple sclerosis and neuropathic pain, has filed for a $49 million IPO. The pre-revenue company plans to trade on the Nasdaq under ticker symbol MAPI, with Aegis Capital Corp. serving as sole underwriter. www.mapi-pharma.com

Stalwart Tankers Inc., owner and operator of a fleet of mid-size stainless steel chemical tankers, has set its IPO terms to 12.5 million shares being offered at between $11 and $13 per share. filed for a $100 million IPO. It would have an initial market cap of around $188 million, were it to price in the middle of its range. The company plans to trade on the NYSE under ticker symbol STST, with Jefferies, Wells Fargo Securities and Global Hunter Securities serving as lead underwriters.

TriNet Group, a San Leandro, Calif.-based provider of cloud-based HR consulting services for small businesses, raised $240 million in its IPO. The company priced 15 million shares at $16 per share (middle of $15-$17 range), for an initial market cap of approximately $1.09 billion. TriNet reports $13 million in net income on around $1.64 billion in revenue for 2013, compared to $31 million in net income on $1 billion in revenue for 2012. It will trade on the NYSE under ticker symbol TNET, while J.P. Morgan, Morgan Stanley and Deutsche Bank served as lead underwriters. TubeMogul, an Emeryville, Calif.-based video marketing company, has filed for a $75 million IPO. It plans to trade on the NYSE under ticker symbol TUBE, with BofA Merrill Lynch, Citigroup and RBC Capital Markets serving as lead underwriters. The company reports a $7.4 million net loss on $57 million in revenue for 2013, compared to a $3.5 million net loss on $34 million in revenue for 2012. M&A

Kohlberg Kravis Roberts & Co. and the Investindustrial Group have agreed to sell Spanish helicopter company Avincis to Babcock International (LSE: BAB) for $2.76 billion (including the assumption of $1.2b in debt). www.avincisgroup.com

Lithium Technologies, a social customer service company that is expected to go public later this year, has agreed to acquire Klout, the company that rates online influence, for approximately $200 million in cash and stock. Lithium has raised over $152 million in VC funding from such firms as Benchmark, Emergence Capital Partners, DAG Ventures, Shasta Ventures, NEA and Tenaya Capital. Klout had raised around $40 million – including a $30 million Series D round in early 2013 at a $200 million valuation – from firms like Kleiner Perkins, Venrock, ff Venture Capital, Greycroft Partners, Mayfield Fund, Microsoft and Draper Nexus Ventures. Read more.
