Bain Capital has agreed to acquire a 50% stake in Jupiter Shop Channel Co., a Japanese television shopping company, from Sumitomo Corp. (Tokyo: 8053). No financial terms were disclosed, but a source familiar with the situation says the total enterprise value for Jupiter Shop Channel was approximaly $2 billion. www.baincapital.com

The CapStreet Group has sponsored a majority recapitalization of The Eads Co., a Houston-based provider of flow control and instrumentation products and services to process-type industries like petrochemical and oil and gas production. No financial terms were disclosed. www.eadslink.com

CHA Consulting Inc., an Albany, N.Y.-based portfolio company of Long Point Capital, has acquired Indianapolis-based engineering firm RW Armstrong & Associates. No financial terms were disclosed. Morgan Joseph TriArtisan managed the process. www.chacompanies.com

Church Services, a Houston-based portfolio company of Fort Point Capital, has acquired both Stark Airand Lewisville Air Conditioning & Heating – a pair of Dallas-area providers of HVAC maintenance, repair and replacement services to residential customers. Diana Group SA, a French portfolio company of AXA Private Equity, has acquired Pacific Pure Aid, a Silverton, Ore.-based maker of vegetable extracts and concentrates for various applications in the agri-food industry. Mortgage Cadence LLC, a Denver-based portfolio company of Monitor Clipper Partners, has acquiredPrime Alliance Solutions, a Tukwila, Wash.–based provider of mortgage technology and related solutions to the credit union industry. No financial terms were disclosed. www.mortgagecadence.com

Two-Twenty Records Management LLC, an Edison, N.J.-based provider of records and information management services, has acquired rival InfoStore Records Management LLC.
