Whitehaven Coal has agreed to buy fellow Australian coal company Aston Resources for approximately A$2.72 billion in stock.

Henkel Corp. has sold its Corrosion Engineering unit to Ergon Asphalt & Emulsions Inc. for an undisclosed amount. www.henkelna.com

The London Stock Exchange has agreed to acquire to the 50% stake in index firm FTSE International it doesn’t already own from British publisher Pearson for £450 million.

Nokia Siemens Networks has agreed to sell its fixed-line broadband access business to Adtran Inc.(Nasdaq: ADTN). No financial terms were disclosed for the deal, which is expected to close next April.www.adtran.com

Willis Group Holdings (NYSE: WSH) has acquired Broking Italia, an Italian employee benefits company with 350 employees. No financial terms were disclosed.

Altor is seeking to sell Norwegian clothing company Helly Hansen, according to a local media report. The deal could be worth around $250 million, with both private equity and strategic buyers expected to have interest. www.hellyhensen.com

Cognetas has canceled its auction for Tokheim, a Paris-based maker of gas station equipment, after failing to receive adequate bids, according to Reuters. Cognetas had hired J.P. Morgan earlier this year to sell Tokheim for around €400 million. www.cognetas.com

Equistone Partners Europe (f.k.a. Barclays Private Equity) has sold Firstassist Legal Expenses toBurford Capital Ltd. (LSE: BUR) for around £28 million. Firstassist provides “after the event” insurance coverage. www.equistonepe.com

First Atlantic Capital has hired Goldman Sachs to help find a buyer for Prestolite Electric Inc., according to Reuters. First-round bids are due in three weeks. Prestolite is Plymouth, Mich.-based maker of alternators, starters and related products and services for the transportation, industrial and military markets. www.prestolite.com

Google (Nasdaq: GOOG) has acquired RightsFlow, a New York-based music-licensing and royalty payment technology platform. No financial terms were disclosed. RightsFlow had raised VC funding from Originate Ventures. www.rightsflow.com
