Grand Rounds (f.k.a. ConsultingMD), a Palo Alto, Calif.-based online platform that connects patients with medical specialists, has raised $40 million in new VC funding. Greylock Partners led the round, and was joined by return backers Venrock and Harrison Metal Capital. Read more.

Kreditech, a German credit rating service that leverages social and commerce data, has raised $40 million in Series B funding. Varde Partners led the round, and was joined by return backers Blumberg Capital and Point Nine Capital. www.kreditech.com

, a San Francisco-based car-sharing services focused mostly on longer-term rentals, has raised $25 million in Series B funding. Canaan Partners led the round, and was joined by return backers August Capital, Google Ventures and Shasta Ventures. www.relayrides.com

Aerospike Inc.
, a Mountain View, Calif.-based in-memory NoSQL database, has raised $20 million in Series C funding. New Enterprise Associates led the round, and was joined by Columbus Nova Technology Partners, Alsop Louie Partners and Regis McKenna. www.aerospike.com

s, a Mountain View, Calif.-based provider of predictive analytics for virtual datacenter management, has raised $15 million in Series C funding. Jafco Ventures led the round, and was joined by Kleiner Perkins Caufield & Byers and Mayfield. www.cloudphysics.com

Dynamic Yield
, an Israel-based, has raised $12 million in Series B funding. Marker LLC led the round, and was joined by Bessemer Venture Partners, Innovation Endeavors, ProSiebenSat.1 Media AG and the New York Times Company. www.dynamicyield.com

Helpshift
, a San Francisco-based provider of CRM solutuions for mobile apps, has raised $10 million in Series A funding. Intel Capital led the round, and was joined by Visionnaire Ventures and return backers True Ventures and Nexus Venture Partners. www.helpshift.com

Numerate Inc.
, a San Bruno, Calif.-based startup that is applying “machine-learning algorithms at cloud scale to transform small molecule drug discovery,” has raised $8 million in new VC funding. Atlas Venture and Lilly Ventures co-led the round. www.numerate.com

Transifex
, a Menlo Park, Calif.-based localization platform, has raised $2.5 million in seed funding. New Enterprise Associates led the round, and was joined by Toba Capital, Arafura Ventures and individual angels.  www.transifex.com

Private Equity Deals

Baring Private Equity Asia and Japanese audio equipment maker Onkyo have partnered to acquire the audiovisual business of Japan’s Pioneer (Tokyo: 6773), according to the Nikkei business daily. No financial terms were disclosed, except that the unit generated around $1.08 billion in fiscal 2013 revenue. www.pioneer.jp

Huron Capital Partners has acquired Spring & Sprout Dental Holdings, a Dundee, Mich.-based dental support organization. No financial terms were disclosed. www.huroncapital.com

IPOs

Green Bancorp, a Houston -based commercial bank with 12 branches in Texas, has filed for a $100 million IPO. It plans to trade under ticker symbol GNBC, with Sandler O’Neill+Partners serving as lead underwriter. Shareholders include Friedman Fleischer & Lowe (24.1% pre-IPO stake), Harvest Partners (24.1%) and Pine Brook Road Partners (24.1%). www.greenbank.com

Immune Design Corp., a Seattle-based developer of immunotherapies to treat cancer, has filed for a $60 million IPO. It plans to trade on the Nasdaq under ticker symbol IMDZ, with Jefferies and Leerink Partners serving as lead underwriters. Shareholders include The Column Group (26.1% pre-IPO stake), ProQuest Investments (24.1%), Alta Partners (20.9%), Versant Ventures (20.9%), Aventis (8.8%) and Topspin Funbd (7.6%). www.immunedesign.com

Intersect ENT Inc., a Menlo Park, Calif.-based developer of local drug delivery solutions for ear, nose and throat patients, has filed for an $80 million IPO. It plans to trade on the Nasdaq under ticker symbol XENT, with J.P. Morgan and Piper Jaffray serving as lead underwriters. The company reports a $4.4 million net loss on $7.5 million in revenue for Q1 2014. Shareholders include U.S. Venture Partners  (22.7% pre-IPO stake), Kleiner Perkins Caufield & Byers (20.3%), Norwest Venture Partners (12.8%) , PTV Sciences (14.7%) and Medtronic (6.8%). www.intersectent.com

Macrocure Ltd., an Israeli regenerative medicine company, has filed for a $75 million IPO. It plans to trade on the Nasdaq under ticker symbol MCUR, with Credit Suisse and Jefferies serving as lead underwriters. Shareholders in the pre-revenue company include Pintifax (16% pre-IPO stake), Viola Private Equity (15.6%) and Vaizra Ventures (15.8%). www.macrocure.com

Tobira Therapeutics Inc., Manalapan, N.J.-based developer of antiviral compounds to treat HIV disease, has filed for a $69 million IPO. It plans to trade on the Nasdaq under ticker symbol TBRA, with BMO Capital Marketrs, JMP Securities and Oppenheimer serving as lead underwriters. Shareholders in the pre-revenue company include Domain Associates (33.4% pre-IPO stake), Frazier Healthcare Ventures (25.3%), Novo AS (17.6%), Montreux Equity Partners (17.5%) and Canaan Partners (2.5%). www.tobiratherapeutics.com

Zosano Pharma Corp., a Fremont, Calif.-based developer of transdermal delivery patches for the treatment of severe osteoporosis, filed for a $65 million IPO. It plans to trade on the Nasdaq under ticker symbol ZSAN, with Wedbush PacGrow Life Sciences serving as lead underwriter. Shareholders include BioMed Realty (39.58% pre-IPO stake) and New Enterprise Associates (34.91%).www.zosanopharma.com

M&A

Investcorp has hired Barclays and Deutsche Bank to find a buyer for Berlin Packaging LLC, a Chicago-based maker and distributor of plastic, glass and metal containers/closures, according to Reuters. The deal could be valued at around $1.3 billion. www.berlinpackaging.com
