Venture Capital Deals

Cloudera, a Palo Alto, Calif.-based provider of enterprise analytic data management solutions, has raised $160 million in new VC funding. T. Rowe Price led the round, and was joined by Google Ventures and MSD Capital. www.cloudera.com

Platfora, a Palo Alto, Calif.-based provider of big data management software, has raised $38 million in Series C funding. Tenaya Capital led the round, and was joined by Citi Ventures, Cisco, Allegis Capital, Andreessen Horowitz, Battery Ventures, Sutter Hill Ventures and In-Q-Tel. Read more at Fortune.com.

Percolate, a New York-based provider of social media workflow solutions for brands, has raised $24 million in Series B funding. Sequoia Capital led the round, and was joined by WPP and return backers GGV Capital, First Round Capital and Lerer Ventures. Read more at Fortune.com.

Simply Measured, a Seattle-based provider of social media analytics and measurement solutions, has raised $20 million in Series C funding. Trinity Ventures led the round, and was joined by return backers Bessemer Venture Partners, Four Rivers Group and MHS Capital. www.simplymeasured.com

Blue River Technology
, a Mountain View, Calif.-based provider of computer vision and robotics solutions for agriculture, has raised $10 million in Series A-1 funding. Data Collective Venture Capitalled the round, and was joined by Innovation Endeavors and return backer Khosla Ventures.www.bluerivert.com

Parchment
, a Scottsdale, Ariz.-based ed-tech company that streamlines the request, delivery and sharing process of verified credentials, has raised $10 million in new VC funding. The Raine Group led the round, and was joined by return backer Novak Biddle Venture Partners. The company is led by Blackboard founder Matthew Pittinsky, and has now raised a total of $45 million. www.parchment.com

Verdasys
, a Waltham, Mass.-based provider of protection for endpoints for the enterprise, has raised $12 million in new VC funding. Return backers GE Pension Trust and Fairhaven Capital co-led the round, and was joined by Brookline Venture Partners. www.verdasys.com

Gem Pharmaceuticals, a Birmingham, Ala.-based developer of therapeutics for sarcoma patients, has raised $4.5 million in new VC funding from existing indivdual investors. www.gempharmaceuticals.com

Cobrain
, a Bethesda, Md.-based cross-merchant personalization engine led by CareerBuilder.com founder Rob McGovern, has raised $3 million in seed funding. No investor information was disclosed.www.Cobrain.com

Heyo
, a Blacksburg, Va.-based social marketing SaaS platform for small businesses, has raised $2 million in Series A funding from Valleys’ Ventures. www.heyo.com

Invenias
, a London-based provider of software solutions to the executive search and strategic recruitment sector, has raised $2 million in VC funding from such backers as MMC Ventures. www.invenias.com

Private Equity Deals

Thoma Bravo has agreed to acquire TravelClick, a New York–based provider of revenue-generating cloud-based solutions for the hospitality industry, from Genstar Capital for $930 million. The deal is expected to close in Q2. www.travelclick.com

The Blackstone Group is prepping a higher bid for Gates Global, a Denver-based maker of power transmission belts and fluid power products, after the company’s owners – Onex Corp. and Canada Pension Plan Investment – rejected a $5.5 billion buyout offer from bLackstone and TPG Capital, according to Reuters. It is unclear if TPG would participate in the revised offer. www.blackstone.com

GS Capital Partners
 and Vestar Capital Partners have agreed to acquire Hearthside Food Solutions, a Downers Grove, Ill.-based white label snack-maker, from Wind Point Partners. No financial terms were disclosed, although an earlier Reuters report had suggested a $1.1 billion enterprise value. GS Capital and Vestar each will own an equal piece of Hearthside. Rival bidders had included BC Partners and Oak Hill Capital Partners, while Barclays managed the process.www.hearthsidefoods.com

Integrated DNA Technologies
, a Coralville, Iowa-based manufacturer of custom nucleic acid products, has secured a minority equity investment from Summit Partners. No financial terms were disclosed. www.idtdna.com

Peak Rock Capital
 has acquired the industrial products division of RJF International Corp. No financial terms were disclosed. The Marietta, Ohio-based business will be renamed ProFusion Industries LLC. www.profusionindustries.com

SensoryEffect, a Bridgeton, Mo.-based food ingredients and flavoring company owned by Highlander Partners, has acquired the the Sleepy Eye, Minn.-based manufacturing facility of Anderson Custom Processing. No financial terms were disclosed for the deal, which includes Anderson Custom Processing’s two spray dryers and other dry blending equipment and technology.www.sensoryeffects.com

IPOs

Alder BioPharmaceuticals Inc., a Bothell, Wash.-based developer of human antibody therapeutics to, has filed for a $115 million IPO. It plans to trade on the Nasdaq under ticker symbol ALDR, with Credit Suisse and Leerink Partners serving as lead underwriters. The company reports a $20.6 million net loss on $18.8 million in revenue for 2013. Shareholders include Sevin Rosen Funds (23.7% pre-IPO stake), Ventures West (14.7%), Novo Ventures (12.1%), H.I.G. Ventures (11.8%), Delphi Ventures (11.4%) and TPG Biotech (11.4%). www.alderbio.com

A.S. Watson & Co., a Hong Kong-based health, beauty, and lifestyle retailer owned by Li Ka-shing, is prepping a June flotation in both London and Hong Kong, according to the WSJ. The offering could raise upwards of $6 billion. www.aswatson.com

Paylocity
, an Arlington Heights, Ill.-based provider of cloud-based payroll and human capital management software for mid-sized organizations, raised $120 million in its IPO. The company priced 7 million shares at $17 per share (above $14-$16 range), for an initial market cap of approximately $832 million. It will trade on the Nasdaq under ticker symbol PCTY, while Deutsche Bank, BofA Merrill Lynch and Williams Blair served as lead underwriters. The company reported a $1.5 million net loss on around $46 million in revenue for the second half of 2013, compared to a $2.5 million net loss on $33 million in revenue for the year-earlier period. Shareholders include Adams Street Partners.www.paylocity.com

Scynexis Inc.
, a Durham, N.C.-based developer of therapeutics for fungal infections, has set its IPO terms to 4.23 million shares being offered at between $12 and $14 per share. It would have an initial market cap of approximately $204 million, were it to price in the middle of its range. The company plans to trade on the Nasdaq under ticker symbol SCYX, with RBC Capital Markets and Canaacord Genuity serving as lead underwriters. It company reports a $23 million net loss on $16.8 million of revenue for 2013. Shareholders include Ventech Capital (18.29% pre-IPO stake), Merial Ltd. (6.29%), Alta Partners (18.09%), Burrill & Co. (9.56%), S.R. One Ltd. (9.35%). www.scynexis.com

Versartis Inc.
, a Mountain View, Calif.-based developer of therapeutics for patients with endocrine disorders, has increased its IPO terms to 6 million shares being offered at between $19 and $21 per share. It previously planned to offer 4.6 million shares being at between $16 and $19 per share. The company plans to trade on the Nasdaq under ticker symbol VSAR, with Morgan Stanley and Citigroup serving as lead underwriters. Shareholders in the pre-revenue company include New Leaf Venture Partners (24.4% pre-IPO stake), Index Ventures (22.4%), Advent Venture Partners (16.3%), Aisling Capital (11.9%) and Sofinnova Ventures (6.8%). www.versatis.com

M&A

Arca Continental, a listed Mexican soft drinks and snacks group, has agreed to acquire Ecuadorian dairy products company Holding Tonicorp for approximately $400 million. www.arcacontal.com

J.P. Morgan
 has agreed to sell its physical commodities trading business to Switzerland’s Mercuria Energy Group, according to the WSJ. No financial terms were disclosed, although earlier reports put the unit’s value at around $3.3 billion. www.mercuria.com

Société Générale has agreed to acquire the outstanding shares it does not already own in online banking business Boursorama (Paris: BRX) for approximately €1 billion. Following the deal, Spain’sLa Caixa would retain its 21% stake in Boursorama. www.groupe.boursorama.fr

Ensighten, a Cupertino, Calif.-based provider of enterprise data and tag management, has acquiredTagMan, a London–based provider of tag management and attribution. No financial terms were disclosed. Ensighten recently raised $40 million in Series B funding from Insight Venture Partners and return backers like Volition Capital. TagMan has raised over $13 million from Cambridge Business Angels, Greycroft Partners and iNovia Partners. www.ensighten.com

Fast Retailing Co Ltd. (Japan) has pulled out of talks to acquire U.S. retailer J. Crew Group Inc., according to the WSJ. TPG Capital and Leonard Green & Partners bought J. Crew for $2.8 billion in 2011, and were seeking around $5 billion. www.jcrew.com

Microsoft is considering a purchase of Xamarin, a San Francisco-based cross-platform development platform for native apps, according to multiple media reports. Xamarin has raised around $28 million in VC funding from Lead Edge Capital, Charles River Ventures, Ignition Partners and Floodgate Fund.www.xamarin.com
