Clayton, Dubilier & Rice has agreed to acquire a majority stake in Brand Energy & Infrastructure Services, a provider of specialty industrial services to North America’s energy markets, from First Reserve Corp. CD&R has separately agreed to acquire the infrastructure Harsco Corp. (NYSE: HSC) for approximately $300 million in cash and a 29% equity stake in the business, which will be merged with Brand Equity & Infrastructure Services. The combined company will have an initial enterprise value of approximately $2.5 billion.

BC Partners has completed a £200 million dividend recap for UK phone retailer Phones4U, which means that the private equity firm has recouped its entire 2011 investment (while maintaining its stake).

Novacap, a French chemicals group sponsored by AXA Private Equity and Rhodia, has acquired a controlling stake in Yangzi, a Chinese maker of a chemical intermediate mainly used for the production of paracetamol. No financial terms were disclosed. In 2012, Yangzi employed 375 employees and recorded €71 million of sales.

Secure Communication Systems, a Santa Ana, Calif.–based maker of rugged computer and information assurance systems, has acquired Lark Engineering, a San Juan Capistrano, Calif.-based maker of RF filters for the commercial, industrial, and military sectors.
