Kohlberg Kravis Roberts & Co. has agreed to acquire Gardner Denver (NYSE: GDI), a Wayne, Penn.-based maker of industrial machinery, for approximately $3.9 billion (including the assumption of debt). The deal would provide Gardner Denver stockholders with $76 per share, which represents a 39% premium to where the stock was trading before the company confirmed that it had begun to explore strategic alternatives (10/24/12). 

3i Group has agreed to acquire Brazilian eyewear retailer Óticas Carol SA, alongside co-investors Neuberger Berman and Siguler Guff. The deal is valued at approximately $55 million.www.oticascarol.com.br

Actis has agreed to acquire the Moroccan water, wastewater and electricity services unit of France’sVeolia Environnement SA (Paris: VIE) for €370 million, pending Moroccan regulatory approval. The services are operated by concession companies Redal and Amendis. www.act.is

The Blackstone Group
 and TPG Capital have put in separate final bids for Australian poultry producerInghams Enterprises, according to Reuters. The deals could value Inghams at around A$800 million. Investec Bank is managing the process. www.inghams.com.au

Dynamic Healthcare Services Inc.
, a portfolio company of GMH Ventures, has acquired the operating assets of APO2, a Hazleton, Penn-based provider of oxygen delivery systems and other home medical equipment. No financial terms were disclosed. www.dynamichealthsys.com

Insurity Inc.
, a Hartford, Conn.-based portfolio company of Genstar Capital, has acquired AQS Holdings Inc. from Grey Mountain Partners. AQS is a Hartland, Wis.-based provider of policy administration software for the property and casualty insurance market. No financial terms were disclosed.www.insurity.com
