Venture Capital Deals

Wattpad, a Toronto-based social platform create direct connections between readers and writers, has raised US$46 million in Series C funding. OMERS Ventures led the round, and was joined by August Capital, Raine Ventures, Northleaf Venture Catalyst Fund and return backers Union Square Ventures, Khosla Ventures, Jerry Yang, Golden Venture Partners and Boris Wertz. www.wattpad.com
Alios BioPharma, a South San Francisco-based provider of therapeutics for respiratory viral diseases, has raised $41 million in Series B funding. Return backers include Novo Ventures, SR One, Roche Venture Fund and Novartis Ventures. www.aliosbiopharma.com

Kenshoo Ltd., an Israel-based provider of digital marketing software, has raised $20 million in new VC funding that the WSJ says values the company at between $400 million and $500 million. Bain Capital Ventures led the deal, and was joined by return backers Tenaya Capital, sequoia Capital and Arts Alliance. www.kenshoo.com

Sequent Medical Inc., an Aliso Viejo, Calif.-based developer of catheter-based neurovascular technologies, has raised $20 million in Series D funding. Delphi Ventures led the round, and was joined by fellow return backer Domain Associates, US Venture Partners and Versant Ventures.www.sequentmedical.com

ID.me Inc., a McLean, Va.-based provider of digital identity solutions, has raised $10 million in Series A funding. Backers include USAA, Silicon Valley Bank, Box Group, Kelly Perdew, K Street Capital and Blu Venture Investors. The round includes $7.5 million of equity and $2.5 million in venture debt.www.id.me
Beamr (f.k.a. ICTV), an Israeli provider of image and video optimization products, has raised $9.5 million in VC funding co-led by Marker LLC and Innovation Endeavors. www.beamrvideo.com

EatStreet, a Madison, Wis.-based online and mobile food ordering service, has raised $6 million in Series B funding. Backers include Cornerstone Opportunity Partners, Independence Equity, Great Oaks Venture Capital, CSA Partners and Silicon Valley Bank. www.eatstreet.com

Trinity Pharma, a Boston-based based provider of cloud-based data and analytics solutions to the healthcare market, has raised $4 million in new Series A funding from Milestone Venture Partners. The round total is now $19 million, including a $15 million first close last December from Health Enterprise Partners. www.trinitypharma.com

Closely, a Denver-based provider of social promotion and mobile marketing solutions for small businesses, has raised $3 million in Series A funding. Grotech Ventures led the round, and was joined by Steadfast Venture Capital and CNF Investments. www.closely.com

Neura, a San Francisco-based developer of interoperable technology solutions for the Internet-of-Things, has raised $2 million in VC funding. Greenhouse Capital Partners led the round, and was joined by SingTel Innov8 Ventures,Pitango Venture Capital, TriplePoint Ventures and individual angels.www.theneura.com

Vengo, a New York-based maker of interactive digital vending machines, has raised $2 million in Series A funding. Backers include Jens Molbak, Brad Feld, QueensBridge Venture Partners, Joanne Wilson, Kensington Capital, Vegas Tech Fund, Scout Capital and Vector Media. www.vengolabs.com

ePantry, a subscription-ecommerce site for sustainable products, has raised $1.4 million in new VC funding from individual angels like Erik Blachford, Taek Kwon and Cary Rosenzweig. Also participating were several investment pros at TPG Capital and Toro Investment Partners, where ePantry founder and CEO Stuart Landesberg once worked. www.epantry.com

Albert Medical Devices, a UK-based developer of medical devices for the urology sector, has raised £940,000 in third-round funding from the Angel CoFund, North West Fund for Biomedical and the London Business Angels. www.albertmedicaldevices.com

Datalogix, a Westminster, Colo.-based company that connects online ads to in-store sales, has raised an undisclosed amount of VC funding from Breyer Captial (with Jim Breyer joining the company’s board of directors). www.datalogix.com

Private Equity Deals

Audax Group has acquired Luminator Technology Group, a Plano, Texas-based maker of display, lighting and passenger communication systems for bus, rail and aerospace. The seller was Levine Leichtman Capital Partners. No financial terms were disclosed. www.llcp.com
Baird Capital has made a “significant investment” in Workforce Insight, a Denver-based provider of strategic workforce management consulting, analytics and managed services.www.workforceinsight.com

GTCR has agreed to acquire Vocus Inc. (Nasdaq: VOCS), a Beltsville, Md.–based provider of cloud marketing software, for approximately $446.5 million in cash, or $18 per share (48% premium to last Friday’s closing price). Other suitors reportedly included ConstantContact and Web.com Group.www.vocus.com

IMAX Corp. (NYSE: IMAX) has agreed to sell a 20% stake in its Greater China business for $80 million to Chinese private equity firms CMC Capital Partners and FountainVest Partners.www.imax.com

MicroPact Inc., a Herndon, Va.–based provider of case management and business process management software for federal and commercial customers, has raised an undisclosed amount of equity funding from Enlightenment Capital. www.entellitrak.com

Moss Inc., a portfolio company of Century Park Capital Partners, has acquired a control stake inAndrés Imaging & Graphics Inc., a Chicago-based provider of visual branding solutions primarily for retail environments. No financial terms were disclosed. www.mossinc.com

Oasis Healthcare, a provider of NHS and private dental care services in the United Kingdom, has acquired Irish dental provider Smiles Dental. No financial terms were disclosed. Oasis Healthcare backers include Bridgepoint and Duke Street Capital. www.thedentalpeople.co.uk

Medina Capital has acquired Cryptzone (Stockholm: CZON-B), a Sweden–based provider of encryption, identity and access management solutions, for approximately $15 million.www.cryptzone.com

Paradigm Tax Group, an acquisition platform sponsored by The Riverside Company, has acquiredDiversified Property Solutions, a Southfield, Mich.-based provider of advisory services for real property, compliance, personal property, tax incentives and asset tagging. No financial terms were disclosed. www.riversidecompany.com

Sankaty Advisors
, an affiliate of Bain Capital, has acquired The Manischewitz Co., a Newark, N.J.-based maker of processed kosher food products like matzo and wine. www.manischewitz.com

Sun Capital Partners has acquired Applied Drilling Technology International Ltd., a Scotland-based provider of oil well design, construction and completion services primarily in the UK North Sea. The seller was Transocean (NYSE: RIG). No financial terms were disclosed. www.suncappart.com

Warburg Pincus has agreed to acquire a majority stake in Mercator, a Dubai–based provider of tech-enabled outsourcing solutions to the global aviation industry, from Dnata (which will retail a minority stake). No financial terms were disclosed. www.mercator.com

IPOs

GasLog Partners LP, an LNG carrier operator owned by GasLog (NYSE: GLOG), has filed for a $150 million IPO. It plans to trade on the NYSE under ticker symbol GLOP, with Citigroup serving as underwriter. www.gaslogltd.com

Sheridan Healthcare Inc
., a Sunrise, Fla.–based physician services company owned by Hellman &Friedman, has hired Credit Suisse, Barclays and Goldman Sachs to manage an IPO that could raise between $400 million and $500 million at a valuation north of $2 billion, according to the WSJ.www.sheridanhealthcare.com

Zoe’s Kitchen Inc., a Plano, Texas-based fast casual restaurant concept, has increased its proposed IPO price range from $11-$13 per share to $13-$15 per share. It still plans to offer 5.83 million shares, and now would have an initial market cap of around $258 million, were it to price in the middle of its revised range. The company plans to trade on the NYSE under ticker symbol ZOES, with Jefferies, Piper Jaffray and Baird serving as lead underwriters. It reports a $3.7 million net loss on $116 million in revenue for 2013, compared to a $253k net loss on $78 million in revenue for 2012. Shareholders include Brentwood Associates (70.56% pre-IPO stake). www.zoeskitchen.com

M&A

Mallinckrodt PLC (NYSE: MNK) has agreed to acquire Questcor Pharmaceuticals Inc. (Nasdaq: QCOR), an Anaheim, Caif.–based drugmaker focused on autoimmune and inflammatory disorders, for approximately $5.6 billion in cash and stock. The $86.10 per share deal represents around a 27% premium over last Friday’s closing price for Questcor stock. www.questcor.com

Clarabridge Inc., a Reston, Va.-based provider of customer experience management solutions for brands, has acquired Market Metrix, a San Rafael, Calif.-based provider of Web-based feedback solutions for the hospitality industry, according to Dow Jones. No financial terms were disclosed. Clarabridge has raised over $90 million in VC funding from General Catalyst Partners, Summit Partners,  Yuchun Lee, Boulder Ventures, Grotech Ventures, Harbert Venture Partners and Intersouth Partners. www.clarabridge.com

The Laclede Group (NYSE: LG) has agreed to acquire natural gas utility Alabama Gas Corp. fromEnergen Inc. (NYSE: EGN) for approximately $1.6 billion. www.alagasco.com

Premier Inc. (Nasdaq: PINC) has acquired Memdata LLC, a Charlotte, N.C.–based provider of equipment planning, sourcing and analytics for medical facilities, from TransUnion Corp. No financial terms were disclosed. www.medconnect.net


Inside Secure (Paris: INSD) has acquired Metaforic, a Scotland–based provider of software obfuscation technologies and encryption-related security software. No financial terms were disclosed. Sellers include Pentech Ventures and Scottish Investment Bank. www.insidesecure.com

TetraLogic Pharmaceuticals Corp.
 (Nasdaq: TLOG) has agreed to acquire Shape Pharmaceuticals, a Cambridge, Mass.–based developer of a topical gel formulation to treat cutaneous t-cell lymphoma. The deal is valued at $13 million in cash, plus possible earnouts. Sellers include HealthCare Ventures. www.tetralogicpharma.com

Wolters Kluwer Corporate Legal Services has acquired Datacert, a Houston, Texas-based provider of enterprise legal management software and services for general counsel offices and law firms, at a $290 million enterprise value. Sellers include SSM Partners. www.datacert.com
