Abraaj Group has agreed to acquire a majority stake in Clinique Taoufik, a private hospital operator in Tunisia. No financial terms were disclosed. www.abraaj.com

Abraaj Group
 has offered to buy at least a 51% stake in listed Egyptian snack-maker Bisco Misr. No financial terms were disclosed. Bisco Misr has a market cap of approximately $700 million.www.biscomisr.com

Apax Partners and KKR are among several private equity firms that have held talks to acquire listed Dutch business software company Exact Holding, according to Reuters. The take-private deal could be valued at around €1 billion, with Rothschild managing the process. www.exact.com

Kohlberg Kravis Roberts & Co.
 has agreed to acquire a 49% stake in Scout24 Schweiz AG andOmnimedia AG, both subsidiaries of Swiss media company Ringier. Scout24 is an online auto marketplace, while Omnimedia is a digital marketing group. No financial terms were disclosed.www.ringier.com

Onex Partners
 is in talks to acquire York Risk Services Group, a Parsippany, N.Y.-based insurance claims services company, for more than $1.3 billion, according to Reuters. The seller would by ABRY Partners, which hired Morgan Stanley to find a buyer. www.yorkrsg.com

VitAg Corp., a Beech Island, S.C.-based specialty fertilizer company, has raised more than $110 million in new equity and debt financing. Part of the proceeds will be used to construct a biosolids-to-fertilizer facility in Zellwood, Florida. TPG Alternative and Renewable Technologies led the equity investment, and was joined by Agro-Iron and Shrieve Chemical. Tennenbaum Capital Partners provided a credit facility, while the deal also includes a $64 million tax-exempt bond offering through the Orange County Industrial Finance Authority (led by Citigroup). www.vitagcorp.com

Otonomy Inc., a San Diego-based developer of therapeutics for diseases and disorders of the inner and middle ear, has filed for an $86.25 million IPO. It plans to trade on the Nasdaq under ticker symbol OTIC, with J.P. Morgan and BofA Merrill Lynch serving as lead underwriters. The company reports a $10.9 million net loss on $9 million in Q1 2014 revenue. It has raised over $140 million in VC funding from firms like Avalon Ventures (16.8% pre-IPO stake), OrbiMed Advisors (15.2%), Novo AS (14.4%), TPG Biotech (14.4%), Domain Associates (11.8%) and Rivervest Venture Partners (7.5%).www.otonomy.com

Townsquare Media, a Greenwich, Conn.-based radio station operator owned by Oaktree Capital Management, has set its IPO terms to 8.33 million shares being offered at between $14 and $16 per share. Aecom Technology Corp. (NYSE: ACM) has agreed to acquire URS Corp. (NYSE: URS), a San Francisco-based engineering and construction services company, for approximately $4 billion, or $56.31 per share (8.2% premium over Friday’s closing price). Bona Film Group Ltd. (Nasdaq: BONA), a Chinese film distribution company, said that founder and CEO Yu Dong has agreed to acquire 21st Century Fox’s 19.9% interest in Bona for $71.4 million, or $11.80 per share. www.bonafilm.cn

BTG Pactual of Brazil has agreed to acquire the Swiss private bank of Italian insurer Generali for $1.68 billion. www.generali.com

Mylan (Nasdaq: MYL) has agreed to a $5.3 billion tax inversion deal with Abbott Laboratories(NYSE: ABT), which will see it acquire a 79% stake in Abbott’s generics pharma business in Europe, Japan, Canada, Australia and New Zealand. www.mylan.com

Whiting Petroleum Corp. (NYSE: WIL) has agreed to acquire Kodiak Oil & Gas Corp. (NYSE: KOG) for $5 billion, including $3.8 billion of stock and the assumption of $2.2 billion in debt. Read more.

Shire Pharmaceuticals (LSE: SHP) said that it would recommend a takeover offer from U.S. drugmaker AbbieVie Inc. (NYSE: ABBV), after AbbieVie raised its offer (for the fourth time) to $53.6 billion. Read more

Advent International and Marcol are seeking a buyer for Berlin-based rehabilitation center chainMedian Kliniken, according to Reuters. Median Kliniken generates around €500 million in annual revenue, and suitors include unlisted German hospital chain Asklepios. www.median-kliniken.de

Audience Inc. (Nasdaq: ADNC) has acquired Sensor Platforms Inc., a San Jose, Calif.–based provider of software and algorithms that interpret sensor data to enable context awareness on smartphones and wearables.
