Shelf Drilling International Holdings has acquired 38 shallow-water drilling rigs from Transocean Ltd. (NYSE: RIG). The deal is valued at $1.05 billion, including $855 million in cash and $195 million in seller financing. Apax Partners has offered to acquire Montreal-based armored car company Garda World Security (TSX: GW) for C$1.1 billion, or C$12 per share (30% premium to last Thursday’s closing price). Participating alongside Apax is Garda founder, chairman and CEO Stéphan Crétier. www.apax.com

OnCourse Learning, a portfolio company of The Riverside Co., has acquired CompuTaught, an Atlanta-based provider of online training courses and print resources for real estate broker, appraisal, mortgage and home inspection licensing. No financial terms were disclosed. www.oncourselearning.com
