International Business Machines Corp. (NYSE: IBM) has agreed to acquire HR software companyKenexa Corp. (NYSE: KNXA) for approximately $1.3 billion, or $46 per share in cash. www.kenexa.com

Contec Holdings Ltd., a cable box repair company owned by Bain Capital, is preparing to file for a prepackaged bankruptcy, according to the WSJ. As part of the deal, Bain Capital would be wiped out with lenders taking control, while Contec would be able to remove around $300 million in debt from its books.www.gocontec.com

Hanlong Group of China has agreed to acquire Australian mining company Sundance Resources (ASX: SDL) for A$1.37 billion.

Hertz (NYSE: HTZ) has agreed to acquire fellow car rental company Dollar Thrifty (NYSE: DTG) for $2.3 billion. www.hertz.com

M&T Bank Corp. (NYSE: MTB) has agreed to acquire Hudson City Bancorp (Nasdaq: HCBK) for around $3.7 billion in stock and cash (60/40 split). www.hcsbonline.com

Kohlberg Kravis Roberts & Co. has agreed to sell Unisteel Technology International Ltd., a Singapore-based maker of precision components and assemblies, to Switzerland’s SFS Group. No financial terms were disclosed. www.kkr.com
