Cypress Semiconductor Corp. (Nasdaq: CY) has offered to buy Colorado Springs-based chipmaker Ramtron International Corp. (Nasdaq: RMTR). The offer is valued at approximately $87.6 million in cash, or $2.48 per share (37% premium to yesterday’s closing price). Cypress had offered to buy Ramtron last year for $3.01 per share, but was turned down. www.ramtron.com

Qantas Airways
 (ASX: QAN) said that it has hired Macquarie Group to defend against possible takeover bids from private equity firms. The move comes as the Australian airline carrier’s shares are down more than 25% on the year. www.qantas.com

General Atlantic and Oak Hill Capital Partners are looking to sell their 41% stake in Indian business process outsourcing company Genpact (NYSE: G), according to The Times of India. Suitors reportedly include Apax Partners and Bain Capital. Genpact’s current market cap is approximately $3.4 billion.www.genpact.com

Sara Lee Corp. (NYSE: SLE) floated its D.E. Master Blenders coffee and tea unit in Amsterdam, at a market cap of approximately €4.7 billion.
