99designs, a crowd-sourced graphic design marketplace with offices in San Francisco and Australia, has acquired LogoChef, a Brazilian design marketplace. No financial terms were disclosed. 99designs has raised $35 million in VC funding from Accel Partners. www.99designs.com

ANA Holdings Inc.
 (Tokyo: 9202) has agreed to acquire a 49% stake in Asian Wings Airways, a Myanmar carrier, for $25 million. www.ana.co.jp

BBA Aviation (LSE: BBA) has acquired Maguire Aviation, a Van Nuys, Calif.-based fixed-base operator, for $69 million. NNA also confirmed media reports that it is in talks to merge withStandardAero, a unit of Dubai Aerospace Enterprise. BOS International Australia, a unit of Lloyds Banking Group, has agreed to sell a A$371 million loan portfolio to Sankaty Advisors, an affiliate of Bain Capital. No financial terms were disclosed. NTT Docomo Inc.
 (Tokyo: 9437) has agreed to acquire Fine Trade GmbH, an Austrian provider of ecommerce trading solutions with payment options. No financial terms were disclosed, although TechCrunch reports the price was “several tens of millions of Euros.” www.nttdocomo.co.jp

Pershing Square Capital Management, a hedge fund led by Bill Ackman, has sold its entire 18% stake in retailer J.C. Penney (NYSE: JCP). The deal netted around $504 million, representing a $473 million loss for Pershing Square. Ackman had led the JCP board two weeks ago.

, the hedge fund managed by Dan Loeb, has paid $156.7 million to amass a 5.7% stake in auction house Sotheby’s (NYSE: BID). www.sothebys.com

 (Nasdaq: SGMO) has agreed to acquire Ceregene Inc., a San Diego-based developer of a treatment of Parkinson’s disease treatment. No financial terms were disclosed. Ceregene has raised around $28 million in VC funding from Hamilton BioVentures, Alta Partners, MPM Capital and Investor Growth Capital. www.ceregene.com

Saw Mill Capital has sold Terra Renewal Services to Darling International Inc. (NYSE: DAR) for approximately $120 million in cash. Terra Renewal is a Russellville, Ark.-based provider of waste management services for the food processing industry. www.terrarenewal.com

Sunstone Capital has agreed to sell Zymenex Holding AS, a Denmark-based developer of biologic therapeutics for the treatment of rare and life threatening genetic diseases, to the UK affiliate of Italian pharma company Chiesi Group. No financial terms were disclosed. www.zymenex.com

American Capital has sold Pan Am Holdings Inc., including Miami-based flight simulation and aviation group Pan Am International Flight Academy, to ANA Holdings Inc. (Tokyo: 9202), the parent company of Japan’s All Nippon Airways Co. MedImmune, a unit of AstraZeneca (LSE: AZN), has agreed to acquire Amplimmune, a Gaithersburg, Md.-based developer of therapeutics in cancer immunology. The deal is valued at upwards of $500 million, including a $225 million up-front payment. Amplimmune had raised $20 million from InterWest Partners and Wellcome Trust, plus in 2010 signed a large drug development deal with GlaxoSmithKline. www.amplimmune.com

The Pritzker Family has agreed to buy TMS International Corp. (NYSE: TMS), a Glassport, Penn.-based provider of outsourced industrial services to steel mills, for approximately $687 million in cash. LDR Holding Corp., an Austin, Texas-based developer of surgical technologies for the treatment of patients suffering from spine disorders, has filed for a $69 million IPO. Piper Jaffray and William Blair are serving as co-lead underwriters. The company reports a $4.8 million net loss on around $52 million in revenue for the first six months of 2013, compared to a $4.2 million net loss on $38 million in revenue for the year-earlier period. Premier Inc., a Charlotte, N.C.-based  healthcare alliance that connects various U.S. hospitals and health systems, has filed for a $100 million IPO. J.P. Morgan, BoA Merrill Lynch and Wells Fargo are serving as lead underwriters. The company reports $375 million of net income on $519 million in revenue for the year ending June 30, 2013. RingCentral, a San Mateo, Calif.-based provider of cloud business phone systems and services, has filed for a $100 million IPO. It would trade under ticker symbol RNG, with Goldman Sachs, J.P. Morgan and BoA Merrill Lynch serving as lead underwriters. The company reports a $24 million net loss on $73 million in revenue for the first six months of 2013, compared to a $19 million net loss on $52 million in revenue for the year-earlier period. RingCentral has raised around $55 million in private funding from Sequoia Capital (17.2% pre-IPO stake), Khosla Ventures (16.7%), DAG Ventures (7.7%), Scale Venture Partners, Cisco and Silicon Valley Bank. www.ringcentral.com

Violin Memory, a Mountain View, Calif.-based flash storage company, has filed for a $172.5 million IPO. It plans to trade on the NYSE under ticker symbol VMEM, with J.P. Morgan, Deutsche Bank and BoA Merrill Lynch serving as lead underwriters, according to Bloomberg. The company reports a $59 million net loss on $51 million in revenue for the first half of 2013, compared to a $49 million net loss on $30 million in revenue for the year-earlier period. The company raised $50 million in VC funding this past March at a valuation north of $800 million.
