Takeda Pharmaceutical Co. Ltd. said that its U.S. subsidiary has agreed to acquire URL Pharma, a Philadelphia-based pharma company whose lead product is used to treat and prevent gout flares. The deal includes an $800 million up-front payment and future earn-out potential. URL Pharma shareholders include Elliott Associates and Momar Corp.

Carl Icahn has increased his stake in WebMD Health Corp. (Nasdaq: WBMD) from 11.64% to 13.12%, according to a regulatory filing.

Henry Schein (Nasdaq: HSIC) has agreed to acquire Dutch veterinary services company AUV Veterinary Services BV from A.U.V. Holding for an undisclosed amount.

Travelzoo Inc. (Nasdaq: TZOO), a New York-based online publisher of travel deals and information, is planning to put itself on the auction block, according to Reuters. It is in the process of selecting a banker, and has a current market cap of around $336 million.

Citrix Systems (Nasdaq: CTXS) has acquired Podio, a Denmark–based provider of a social business collaboration platform. No financial terms were disclosed. Podio had raised over $4 million in angel funding.

Sun Capital Partners has agreed to sell Canadian pork processing company Fearmans Pork to Sofina Foods Inc. No financial terms were disclosed.

Techfresult of Brazil has acquired Softcorp., a Sao Paulo-based software distribution company, for approximately US$8.25 million. Sellers include Brazilian venture capital firm
