Apache Corp. (NYSE: APA) has agreed to acquire Denver-based oil and gas company Cordillera Energy Partners III from EnCap Investments. The deal is valued at around $2.85 billion in cash and stock. This is the third Cordillera platform backed by EnCap, and operates more than 400 wells in the Texas Panhandle and western Oklahoma. It also has significant acreage in the Anadarko Basin.

Tremor Video, a New York-based online video advertising network, has acquired InPlay, a provider of video analytics for publishers, from TubeMogul. No financial terms were disclosed. Tremor has raised nearly $80 million in VC funding, from firms like Keating Capital, Canaan Partners, DFJ Growth, General Catalyst Partners, Meritech Capital Partners, EDBI, Time Warner, SAP Ventures and W Capital Partners. TubeMogul has raised over $14 million from Trinity Ventures, Knight’s Bridge Capital Partners and Foundation Capital.

Sonian, a Needham, Mass.-based provider of cloud-powered information archiving, has acquired the email archiving business of Webroot Software for an undisclosed amount. Sonian last year raised $9 million in Series B funding from Webroot,, Summerhill Venture Partners and Prism VentureWorks. Webroot shareholders include Accel Partners, Mayfield Fund, Saints Capital and Technology Crossover Ventures.

Berkshire Partners and Greenbriar Equity Group have agreed to sell AmSafe Global Holdings Inc., a Phoenix, Ariz.-based maker of safety and restraint equipment for the global aerospace industry, to TransDigm Group Inc. (NYSE: TDG). The deal is valued at approximately $750 million in cash.

Groupon (Nasdaq: GRPN) has acquired Mertado, a Redwood City, Calif.-based social shopping company focused on home and kitchen goods. No financial terms were disclosed. Mertado had raised over $2.3 million in VC funding from Rustic Canyon Partners, Blumberg Capital and Redpoint Ventures.

The Home Depot (NYSE: HD) has acquired Redbeacon, a San Mateo, Calif.-based online home services platform connecting consumers with contractors. No financial terms were disclosed. Redbeacon had raised more than $7 million in VC funding from Mayfield Fund and Venrock.

Micron Technology Inc. (Nasdaq: MU) has agreed to acquire the assets of Virtensys Ltd., a UK-based provider of PCIe-sharing solutions. No financial terms were disclosed. Virtensys had raised around $40 million in VC funding, from firms like Scottish Equity Partners, Celtic House Venture Partners and GIMV.

RJD Partners has sold the operations of European Boating Holidays, an operator of European inland waterway boating holidays, to company management (financed by Avenir Entreprise and AMS Industries). No financial terms were disclosed.
